Paralegal
Main Responsibilities
The Paralegal will provide legal support on a broad variety of corporate legal and governance matters and agreements associated with TIL's holding companies and terminal participations.
Organizing, managing and feeding TIL's databases on the Intranet and the legal drive, and the filing cabinet and safe if originals are kept, with corporate information of the TIL entities (including board compositions), corporate documents, files, minutes, contracts and other relevant documents as required, all according to agreed naming and filing conventions.
Arranging for signatures on board and shareholder resolutions, related corporate legal and governance documents, and agreements at terminal and holding companies' level that have been sent to be signed; scanning, emailing and couriering the signed documents to the relevant recipients.
Arranging for legalizations/notarizations and apostilles/consularizations of signatures.
Providing assistance and arranging for board changes, and updating directors' information (address changes, passport information etc.), at terminal and holding companies' level.
Reviewing and drafting proxies (powers of attorney) for board and shareholder meetings, and board and shareholder resolutions, at terminal and holding companies' level according to the relevant company's or jurisdiction's requirements.
Coordinating the Legal team's invoicing with external vendors and internal customers.
Providing support for monthly reporting to the [MSC] Group Secretary Function regarding TIL corporate information.
Providing support for TIL business teams with M&A and tender documentation (corporate forms etc).
Providing support for corporate reorganizations (corporate forms etc).
Providing support for organizing training sessions on record-keeping for the Legal team and other internal customers.
Minimum Qualifications/Experience/Skill:
Minimum Qualifications:
University degree or relevant paralegal education.
At least 5 years of experience in a similar position in a law firm or in the legal department of an international corporation.
Required Competencies:
Analytical and inquisitive mindset, can-do attitude and proactive.
Methodical and diligent with excellent attention to detail; ability to organize, prioritize and manage deadlines.
Excellent verbal communication and drafting skills.
Needed Experiences:
Proven experience in providing legal support for corporate legal and governance matters and - preferably - commercial contracting and M&A transactions.
Experience in working internationally in cross-functional teams.
Languages Requirements:
Perfect command of English (spoken and written) is a must. French a plus.
