Job Description

For its office in Zurich, Switzerland, QUORUS GmbH (www.quorus.ch) - which is presently developing its activities and services with Kazakhstan - is urgently looking for a senior counselor / partner with a full Kazakh or Russian academic law and finance background, an executive level education at a prestigious international university, a solid business network and an extensive client portfolio in Kazakhstan, as well as a substantial experience in multinational legal and financial projects with a significative Central Asian dimension.

Duties and responsibilities:

- Participation in complex international M&A and venture transactions (including conduction of negotiations, legal structuring of the deal, preparation of transactional documentation and assisting in closing);

- Participation in arbitration proceedings supported by the firm (including elaboration of the strategy, preparation of submissions and other procedural documents, participation in oral pleadings and hearings);

- Monitoring and interpreting US, UK, EU and Swiss sanctions against Russia, especially the risk for secondary sanctions,

- Legal review and analysis of various contracts (governed, inter alia, by English law, European law, Swiss law), corporate documentation, forms, regulations, bylaws, etc.;

- Legal support and consultations for emerging businesses and start-ups (including the incorporation, change of legal structure, structuring of the funding, appointment of the officers, etc.);

- Supporting the entry of Swiss / EU clients to the Kazakhstan market;

- Preparation and submission of various applications to state authorities (including applications to national regulators for specific licenses or authorizations, etc.);

- Contributing and developing an extensive portfolio of private clients as amongst HNWIs;

- Support and consultation of the private clients of the firm in their business needs;

- Active involvement in a day-to-day cooperation with the clients of the firm (including negotiations, consulting and business trips).

Your contribution:

- Legal qualification under Swiss or Kazakh or Russian law (a must), with proven knowledge and professional experience of the respective other law, international qualifications at a Master of Science level in Law or Finance (a must), executive level education would be an asset;

- 6+ years of professional experience with usual duties such as contract review and drafting, legal clarifications and preparation of legal opinions;

- Deep knowledge and first-hand experience of the customary business and legal practices and procedures currently in force in Kazakhstan

- Former roles as a CEO or deputy CEO in Kazakhstan nation-wide companies or comparable position in Switzerland or elsewhere, working closely with nation-wide companies in Kazakhstan (at least 6+ years of experience);

- Comprehensive top-level international experience in the legal and business fields (at least 6+ years of experience);

- Fluency in various foreign languages (English, Kazakh, German and Russian as a must, French or Italian would be an asset);

- Experience in managing complex multi-jurisdictional projects;

- Experience in dealing with EBRD;

- Experience in serving as a board member for large corporations would be an asset;

- Own portfolio of clients;

- Readiness for regular business trips.
