Job Description

The Legal Compliance Counsel will contribute to the execution of the Arcera Integrity & Compliance Program across all divisions of Arcera based on the highest pharma industry standards, most notably in the areas of trade compliance, third party risk management, and data privacy. Reporting to the Head of Integrity and Compliance, the Legal Compliance Counsel will work closely with compliance and business teams across Arcera to drive the continuous improvement of the company's compliance framework.
Key Responsibilities:
Support for Integrity and Compliance Framework:

  • Under direction of the Head of Integrity & Compliance, provide support for the global Arcera Integrity & Compliance framework, with a focus on key regulatory areas and contractual commitments.
  • Review and support the negotiation of compliance provisions in contracts with third parties; development of corresponding templates.
  • Contribute to the identification of existing and emerging compliance risks and help ensure fit-for-purpose mitigation measures.
  • Assist in the implementation and continuous improvement of the compliance training program.
  • Provide support for compliance monitoring and the investigation of speak-up reports.
Trade Compliance:
  • Provide support to the business and regional compliance teams on export controls and sanctions topics.
  • Pursue professional education to stay abreast of developments in trade compliance; monitor changes in export controls, sanctions, trade laws and regulations; update company policies and procedures accordingly.
  • Train and educate key functions to raise awareness of trade compliance risks, legal requirements and best practices.
  • Manage efficient use of external advisors for complex questions in areas of trade compliance.
  • Support the optimization of company practices for ensuring sanctions compliance.
Third Party Risk Management:
  • Conduct compliance due diligence and risk assessments for new and existing third-party relationships and design appropriate risk mitigation measures, in close collaboration with the accountable business teams.
  • Implement risk-based monitoring of third-party relationships to ensure compliance with company standards and regulatory requirements.
  • In close collaboration with accountable business teams, work with third-party business partners to address mitigation measures and any identified compliance issues.
  • Support the roll-out and continuous improvement of the third party risk management standards and procedures throughout the organization, including the online platform.
  • Contribute to the smooth coordination of EHS/ESG and Compliance due diligence, including support for social and governance aspects of ESG due diligence.
Data Privacy:
  • Assist in reviewing the Data Processing Agreements (DPAs), privacy clauses in various agreements, and related contractual documents.
  • Support drafting and revision of privacy-related templates, privacy notices, internal privacy policies, and other privacy-related communications.
  • Support maintenance of organized records of privacy documentation and updates.
  • Coordinate with internal stakeholders to gather information relevant to privacy assessments, documents, or compliance checks.
  • Help track regulatory developments and changes in data protection requirements as directed.
  • Provide administrative and operational support to the Head of Privacy on various day-to-day privacy tasks, initiatives, assessments, and projects.

  • Proficiency in compliance software and tools.
Qualifications & Experience:
  • Qualified lawyer or equivalent legal education, preferably in a European jurisdiction.
  • Minimum of 3 years of experience in Legal and/or Compliance roles, with a strong preference for the pharmaceutical industry.
  • Professional training in compliance or equivalent on-the-job experience.
  • Well-developed knowledge of industry-specific regulations and standards.
  • Excellent command of the English language; additional language skills preferred.
